每年QDII限购潮来一轮,后台问"还能怎么出海"的消息就刷一波。今年3月外汇局批了53亿美元新增额度,是2021年以来最大单次扩容,但央行自己都说"额度供需矛盾突出"。

这篇文章不解释什么是QDII。直接说三件事:现在有哪些合规通道、各自什么门槛、你该选哪条。

一、三通道现状:QDII/QDLP/QDIE的额度盘子

先摆数据。截至2026年6月末,193家机构累计获批QDII额度1761.69亿美元,其中证券基金类机构972.8亿美元。7月国新办发布会上,外汇局明确"常态化发放QDII额度,进一步向公募产品倾斜"。

但常态化的另一面是——热门QDII基金限购、封盘、场内溢价已经成了市场常态。额度向"投资管理能力强、产品认可度高、合规意识好"的头部机构倾斜,中小机构拿不到多少。

QDLP方面,上海、深圳各获批50亿美元(深圳已扩容至100亿美元),海南QDLP与QDIE合并为100亿美元总额度。试点城市正在扩容,海南自贸港、成渝双城经济圈、长三角一体化示范区等地区有望纳入新一批试点。

QDIE是深圳2014年首创的试点,已扩至北京和海南。目前深圳120多家管理人获批,投资范围覆盖境外非上市股权、对冲基金、夹层融资、不良资产等另类资产,比QDII宽得多。

三个通道的定位很清楚:QDII面向大众投资者买海外证券,QDLP面向高净值客户投海外私募,QDIE面向机构和家办做另类资产配置。门槛依次递增,投资范围依次递宽。

二、TRS:正在被收紧的"灰色捷径"

跨境收益互换(Total Return Swap,TRS)的操作逻辑不复杂——境内签合约、境内交保证金、境外复制敞口、境内人民币结算。资金不出境,但能拿到海外资产的经济收益。

目前中信证券、国君海通、华泰、中金、中信建投、广发、招商、银河、申万宏源等9家券商有资质开展这项业务。通道费常见区间2%-4%,市场需求旺盛时更高。

TRS的优势确实明显:不用换汇、杠杆灵活、可挂钩个股/ETF/指数。但它的风险也藏在效率里——杠杆放大、隔夜跳空补保证金、交易对手风险、调仓不顺畅。

更关键的是政策在收紧。2024年以来行业已普遍执行"不得净新增"原则,城投债、美元债等部分资产类别受到更严格管理。2026年6月,有头部私募收到券商通知,股票类跨境TRS被要求暂停新增规模。监管的逻辑是让不同跨境投资渠道保持一致的监管标准,TRS不是被针对,而是被纳入统一框架。

我的判断:TRS作为专业配置工具不会消失,但额度窗口持续收窄是确定性趋势。如果你的海外配置策略高度依赖TRS,现在是时候认真考虑替代方案了。

三、股票互联互通:个人投资者的天花板

沪深港通对个人投资者设了50万证券资产门槛,标的范围限于港股通成分股。想通过这个渠道买美股?没门。

债券通主要面向机构投资者,个人投资者基本无缘。

跨境理财通南向通是相对新的渠道,但门槛也不低——需要大湾区9城户籍或社保,加上200-300万个人资产门槛。2025年参与银行已扩至43家,南向通资金净流出1142.3亿元,同比增长41.8%,说明需求在释放。

但跨境理财通的投资范围限于港澳合资格产品,不是想买什么就能买什么。

四、核心判断:合规通道在收窄,但结构性机会仍在

把上面这些放在一起看,趋势很清楚:

灰色通道在被系统性封堵。 2023年5月证监会查处老虎、富途、长桥等无牌跨境券商,设置2年集中整治期,存量规模约2000-2500亿港元的灰色跨境炒股空间被压缩。TRS额度管理趋严。地下钱庄、虚拟货币搬砖、虚构贸易付汇的查处力度持续加大。

合规通道在结构性扩容。 QDII额度常态化发放且向公募倾斜,QDLP试点城市在扩容,跨境理财通参与银行和投资者数量在增长。2026年计划新增QDLP试点地区5个、管理人牌照32张。

但总体额度仍然供不应求。 1761.69亿美元的QDII总额度,对应14亿人口的配置需求,杯水车薪。

对高净值人群来说,实际可选的路径是分层的:

资产500万以下的,QDII公募+港股通是主力组合。别追高溢价场内品种,看到限购就下手,别等。

资产500万以上的,QDLP和QDIE值得重点研究。这两个通道的投资范围更宽,能接触到海外PE、对冲基金等另类资产,但需要通过持牌机构认购,流程3-6个月起步。

有企业出海需求的,ODI备案是唯一合规通道。发改委立项→商务部审核→外汇局登记,非敏感项目20-40个工作日。2026年837号令首次将居民个人境外投资纳入法定监管框架,安全审查制度也在收紧,敏感国别和行业的项目要走核准制,周期更长。

最后说一句不太好听的话:如果你还在用"朋友介绍换汇""虚拟货币搬砖""虚构贸易背景"这些方式出境,建议立刻停下来。外汇局的穿透式监管已经和金税四期数据打通,每一笔付汇的合同编号、收款方注册号、完税凭证全部自动比对。被查处的后果不只是罚款——严重的直接刑事追责,限制出境,纳入征信。

合规出海的通道虽然窄,但至少走得通。灰色通道看着宽,但随时可能变成悬崖。

After the QDII Tightening: Which Compliant Channels Remain for High-Net-Worth Outbound Investment
QDII quotas tighten, but regulators left compliant doors open. This piece maps QDLP, QDIE, TRS, connect schemes and ODI — what each requires and which fits your asset level.

1. The Three Channels: QDII / QDLP / QDIE Quota Pools

First the data. As of end-June 2026, 193 institutions held cumulative QDII quotas of US$176.17 billion, of which securities and fund managers held US$97.28 billion. At a July press conference, the forex regulator reaffirmed "normalized QDII quota issuance, further tilted toward public-fund products."

But normalization has a flip side: popular QDII funds now routinely suspend subscriptions, close to new money, and trade at premiums — a market norm. Quotas tilt toward top institutions with strong investment management, high product recognition and good compliance; smaller players get little.

On QDLP, Shanghai and Shenzhen each secured US$5 billion (Shenzhen later expanded to US$10 billion); Hainan merged QDLP and QDIE into a US$10 billion pool. Pilot cities are expanding — Hainan Free Trade Port, the Chengdu-Chongqing economic circle and the Yangtze River Delta demonstration zone are candidates for the next batch.

QDIE, pioneered by Shenzhen in 2014, has expanded to Beijing and Hainan. Over 120 managers in Shenzhen are approved, covering offshore private equity, hedge funds, mezzanine financing and non-performing assets — far wider than QDII.

The positioning is clear: QDII serves mass investors buying overseas securities; QDLP serves high-net-worth clients in overseas private funds; QDIE serves institutions and family offices in alternative allocation. Thresholds rise and scopes widen in that order.

2. TRS: The "Gray Shortcut" Being Tightened

A Total Return Swap (TRS) is simple in logic: sign a contract onshore, post margin onshore, replicate exposure offshore, settle in RMB onshore. Capital never leaves, yet you capture the economic return of overseas assets.

Nine brokerages — CITIC, Guotai Junan, Huatai, CICC and others — are licensed. Channel fees commonly run 2%–4%, higher at peak demand.

Its edge is real: no FX conversion, flexible leverage, hook to individual stocks/ETFs/indexes. But the risk hides in the efficiency — leverage amplification, overnight gap calls, counterparty risk, messy rebalancing.

More importantly, policy is tightening. Since 2024 the industry has broadly enforced "no net new" for stock-class cross-border TRS; in June 2026 a top private fund was told to halt new stock TRS scale. The logic: keep all cross-border channels under one regulatory standard.

My view: TRS as a professional tool won't disappear, but the quota window keeps narrowing. If your offshore strategy leans heavily on TRS, now is the time to plan alternatives.

3. Stock Connect: The Ceiling for Retail

Shanghai-Shenzhen-Hong Kong Stock Connect sets a RMB 500k securities-asset threshold for individuals; scope is limited to Stock Connect constituents. Want US stocks through it? No.

Bond Connect is mainly for institutions; retail is essentially shut out. The Cross-boundary Wealth Management Connect (southbound) is newer but also gated — household registration or social security in nine Greater Bay Area cities, plus a RMB 2–3 million asset threshold.

4. Core Judgment: Compliant Channels Narrow, but Structural Opportunity Remains

Put together, the trend is clear. Gray channels are being systematically sealed — the 2023 CSCI/Tiger/MOOMOO crackdown compressed ~HK$200–250bn of gray cross-border trading. TRS quota management tightens. Crackdowns on underground banks, crypto arbitrage and fictitious trade payments intensify.

Compliant channels are structurally expanding — QDII normalized and tilted to public funds, QDLP pilot cities growing, Wealth Management Connect participation rising. But overall supply still falls short of demand.

For high-net-worth individuals, the realistic path is tiered: under RMB 5m, QDII public funds + Hong Kong Stock Connect; above RMB 5m, QDLP and QDIE deserve serious study (3–6 months to subscribe via licensed institutions); with outbound corporate needs, ODI filing is the only compliant channel.

One uncomfortable truth: if you still move money out via "a friend's exchange," crypto arbitrage or fictitious trade backgrounds, stop now. The forex regulator's look-through surveillance is linked to the Golden Tax Phase IV data — every payment's contract number, payee registration and tax certificate is auto-matched.
